Terms of Service
These terms govern your use of Ready.Coach, including the coach dashboard, the iOS app, and the API behind them (the “Service”). Ready.Coach is operated by Ready.Coach LLC (“we”, “us”). Contact: hey@ready.coach.
By creating an account or using the Service, you agree to these terms and to our Privacy Policy. If you use the Service on behalf of a business, you agree for that business. If you don't agree, don't use the Service.
1. The Service and who it's for
Ready.Coach lets independent coaches (“Coaches”) run an AI coaching assistant, under their own brand, for the people they coach (“Clients”). Coaches set up the assistant, their workflows, and their Clients in the dashboard; Clients talk to the assistant in the app.
- You must be 18 or older.
- The Service is offered in the United States only.
- The Service is in an early, pilot stage. Features may change, be added, or be removed, and we don't promise any particular level of availability.
2. The coaching relationship
Coaches are independent professionals, not our employees or agents. A Coach chooses their own methods, prices, and Clients, and is solely responsible for the coaching they provide. We provide software; we are not a party to the agreement between a Coach and a Client, and we don't supervise, endorse, or guarantee any Coach.
If you are a Client, your Coach and their organization decide how the assistant works with you and can see your conversations and what the assistant records about you, as described in the Privacy Policy. Questions about your coaching go to your Coach.
3. The AI assistant is not professional advice
The assistant generates responses automatically. They can be wrong, incomplete, or inappropriate, and they are not reviewed by a person before you see them.
- It is not medical, mental-health, legal, financial, or crisis advice, and Ready.Coach is not a healthcare provider. Don't rely on it for decisions in those areas; talk to a qualified professional.
- If you are in crisis or thinking about harming yourself or others, contact your local emergency number or, in the US, call or text 988. The assistant cannot call for help.
- Safety features that flag concerning messages to a Coach are a best effort and may miss things. They do not make the Service a monitoring or emergency service.
4. Accounts
- Give accurate information and keep it current.
- Keep your sign-in credentials and any second factor secure, and don't share your account. You are responsible for activity under it. Tell us promptly at security@ready.coach if you suspect unauthorized use.
- A Coach is responsible for the people they invite to their organization, including other coaches on their team.
5. Coach responsibilities
If you are a Coach, you agree that:
- You have the right to use your Clients' data. You will tell your Clients that you use Ready.Coach, obtain any consent the law or your profession requires, and add only people who have agreed to be coached by you.
- You get consent before recording. If you record or transcribe a session, or dictate notes that include a Client's words, you are responsible for obtaining every consent the law requires, including in states that require all parties to agree.
- You stay within your qualifications. You won't present the assistant, or your coaching through it, as therapy, medical treatment, or any service that requires a licence you don't hold.
- You are responsible for what you configure. Instructions, workflows, guidance, and other content you give the assistant must be lawful and suitable for your Clients.
- You act on safety alerts about your Clients as your professional duties require.
- Connected accounts. If you connect a third-party account such as Google Calendar, you authorize us to access it as described in the Privacy Policy, and you remain bound by that provider's terms. You can disconnect at any time.
6. Acceptable use
You won't, and won't help anyone else to:
- break the law, or harass, threaten, exploit, or harm anyone, including minors;
- upload content you don't have the right to share, or that infringes someone else's rights;
- access another person's account or data without permission, or probe, scan, or test the Service's security except under our security policy;
- interfere with the Service, overload it, or get around usage limits, safety features, or access controls;
- use the Service to build a competing product, or copy, scrape, or reverse-engineer it except where the law allows;
- use the assistant to generate content that violates our AI provider's usage policies.
7. Your content
You keep ownership of what you put into the Service: messages, notes, workflows, branding, and other content (“Your Content”). You give us a limited licence to host, copy, process, and display Your Content only to provide, secure, and support the Service for you and the people you work with, including sending it to our service providers as the Privacy Policy describes.
We don't sell Your Content, and we don't use it to advertise to you. Our AI provider does not train its models on it.
If you send us feedback or suggestions, we may use them without any obligation to you.
8. Our property
The Service, its software, design, and the Ready.Coach name and logo belong to us. These terms give you the right to use the Service while your account is active; they don't transfer any ownership. The workflow templates we provide are licensed to Coaches for use within the Service.
9. Fees
- Clients never pay us. Any fees a Client pays for coaching are between the Client and their Coach.
- Coaches pay the fees shown when they subscribe or agreed with us in writing, which may include a subscription, charges based on the AI usage of their organization, and a one-time setup fee. Payments are processed by Stripe. Prices exclude taxes, which you pay.
- Subscriptions renew automatically until cancelled. You can cancel from the dashboard; cancelling takes effect at the end of the current billing period. Fees already paid are non-refundable except where the law requires otherwise.
- If a payment fails or a subscription lapses, we may limit your organization's dashboard to read-only and stop new invitations until it's resolved. Your Clients can keep using the app during that time.
- We will give at least 30 days' notice of a price increase.
10. Third-party services
The Service relies on and connects to services we don't control, such as Google, Apple, Stripe, and our AI provider. Your use of them is subject to their own terms, and we aren't responsible for them.
The iOS app. These terms are between you and us, not Apple. Apple has no obligation to provide maintenance or support for the app, and is not responsible for any claims relating to it, including product liability, legal compliance, or intellectual-property claims. If the app fails to conform to any applicable warranty, you may notify Apple, which may refund its purchase price (the app is free), and Apple has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you. You confirm you are not in a country subject to a US embargo and are not on a US list of prohibited or restricted parties.
11. Suspension and termination
- You can stop using the Service at any time. A Coach can close their organization by writing to hey@ready.coach; a Client can ask their Coach or us to delete their account.
- We may suspend or end your access if you breach these terms, if we have to by law, or if your use puts other people or the Service at risk. Where we reasonably can, we'll tell you first and give you a chance to fix the problem.
- We may stop offering the Service with at least 30 days' notice to Coaches.
- When a Coach's organization closes, the Coach can ask for an export of their data within 30 days. After that we delete it as the Privacy Policy describes, except what the law requires us to keep.
- Sections 3, 7 (feedback), 8, 9 (amounts owed), and 12 to 15 survive termination.
12. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or secure, or that the assistant's output will be accurate or suitable for any purpose.
13. Limitation of liability
To the fullest extent the law allows:
- we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, even if we were told they were possible;
- we are not liable for the coaching a Coach provides, or for decisions anyone makes based on the assistant's output;
- our total liability for all claims relating to the Service is limited to the greater of the fees you paid us in the 12 months before the claim arose, or US$100.
Some states don't allow some of these limits, so they may not all apply to you.
14. Indemnity
If you are a Coach, you will defend and indemnify us against third-party claims, including claims by your Clients, arising from your coaching, your content and configuration, your breach of section 5 or 6, or your violation of law, and pay the resulting losses and reasonable legal fees.
15. Disputes and governing law
These terms are governed by the laws of the State of Idaho, without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Ada County, Idaho (Boise), and you and we consent to their jurisdiction. Before filing a claim, please write to hey@ready.coach and give us 30 days to try to resolve it.
16. Changes to these terms
We may update these terms. We'll post the new effective date here, and for material changes we'll notify you by email or in the Service at least 30 days before they take effect. Continuing to use the Service after that means you accept the new terms.
17. General
These terms and the Privacy Policy are the whole agreement between you and us about the Service, unless a Coach signs a separate written agreement with us, which then controls where it differs. If a provision is unenforceable, the rest stays in effect. Not enforcing a provision isn't a waiver. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition, or sale of the Service. Notices to us go to hey@ready.coach.
